                       Gold Mines of Sardinia plc ("GMS")

The Directors of GMS are pleased to announce that at a special meeting of Full
Riches Investments Ltd ("FRI"), the shareholders of FRI approved the
amalgamation of FRI and Medoro Resources Ltd. Medoro Resources is GMS's Canadian
subsidiary, which will own all of the main assets of GMS immediately prior to
completion of the amalgamation and will also be the name of the amalgamated
entity on completion of the amalgamation.

The passing of this resolution by the shareholders of FRI was a key condition of
the amalgamation agreement. The directors of GMS anticipate that the remaining
conditions of the amalgamation will be met within the time frame set out in the
circular to GMS shareholders, dated 28 November 2003.
