Re:Mothercare plc, Disclosure of Interest in Shares

Mothercare plc announces that it has been advised by M&G Investment Management
Limited that Prudential plc and certain of its subsidiary companies ("Prudential
plc") have decreased their notifiable interest in the share capital of
Mothercare plc to 8,932,291 Mothercare plc Ordinary 50p shares equivalent to
12.59% of the issued share capital The previously notified interest of
Prudential plc was in respect of 9,632,291 Ordinary 50p shares comprising 13.58%
of the issued share capital.
