All resolutions as set out in the Notice dated 23 February 2004 were passed at
the Annual General Meeting held earlier today.

A copy of the only resolution of the Annual General Meeting not relating to
ordinary business, namely the proposal for the Company's subsidiary to purchase
up to 3,804,700 of its ZDP Shares, has been submitted to the UK Listing
Authority by letter dated today, together with the extraordinary resolution
passed at the class meeting of the Zero Dividend Preference Shareholders, and
will be available shortly for inspection at the UK Listing Authority's Document
