    EGM and Board Changes

    Southampton Leisure Holdings plc (the "Company") announces today that each of Leon Adrian Crouch, Patrick Murray Trant and Keith St John
Wiseman has resigned as a director of the Company with immediate effect and each of Andrew Edward Cowen, Rupert James Graham Lowe and
Michael Gordon Wilde has been appointed as a director of the Company with immediate effect. Accordingly, the EGM which is called for  16 May
2008 will not proceed. 
    A further announcement will be made in due course regarding the Board Changes.
