    Osprey Smaller Companies Income Fund Limited (the "Company")

    In conformity with the Disclosure and Transparency Rules 5.6.1, the Company announces the following in relation to its share capital. As
at the date of this announcement, the Company's issued share capital consists of 10,829,612 Ordinary Shares, with a nominal value of 10p
each. The Company holds 130,000 Ordinary Shares in Treasury and therefore the total number of voting rights in the Company is 10,699,612.

    The above figure of 10,699,612 Ordinary Shares may be used by Shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and
Transparency Rules.
