Bank Hapoalim B.M. (hereinafter: "the Bank") respectfully advises, further to an 
immediate report released on 17th July, 2008 regarding the signing of an 
agreement for the acquisition of control of the Russian bank SDM Bank 
(hereinafter: "SDM Bank") by Tarshish Holdings and Investments Hapoalim Ltd. 
(hereinafter: "Tarshish"), a wholly owned subsidiary company of the Bank, as 
follows: 
 
 
1) According to the agreement for the acquisition of the control of SDM Bank, 
all of the suspensive conditions for the completion of the acquisition were 
supposed to have been fulfilled by 16th January, 2009. 
 
 
2) On the backdrop of developments in the global economy in general and in 
Russia in particular, no permit for the acquisition was received from the 
Governor of the Bank of Israel and all of the suspensive conditions for the 
completion of the acquisition were not fulfilled and the acquisition was 
cancelled.
