Merger Update, Change of Company Name and Board Changes 
 
 
This announcement is made by Guinness Flight Venture Capital Trust PLC ("the 
Company") in connection with the scheme of reconstruction for the merger of 
Gateway VCT PLC ("Gateway VCT") with the Company ("the Scheme"), details of 
which were contained in the Company's prospectus ("the Prospectus") and circular 
to shareholders ("the Circular") both dated 31 July 2009. 
 
 
The board of directors of the Company ("the Board") is pleased to advise that 
the resolution proposed at the general meeting of Gateway VCT held today was 
duly passed to be able to implement the Scheme and effect the merger. By way of 
implementation of the Scheme, the assets and liabilities of Gateway VCT have 
been transferred to the Company, in consideration for the issue of ordinary 
shares of 10 pence each in the capital of the Company ("Shares"), as set out 
below. 
 
 
The total number of Shares issued to Gateway VCT shareholders in connection with 
the Scheme was 10,972,864, at a deemed issue price of 40.947896556p per share. 
 
 
Application will shortly be made for all the Shares issued to be admitted to the 
Official List and to trading on the main market of the London Stock Exchange. It 
is expected that admission will become effective and that trading will commence 
on 7 September 2009. 
 
 
The Board further announces that following the Scheme becoming effective: 
 
 
  1.  David Liddell and James Stewart have stepped down as directors; 
  2.  Charles Scott, Neil Kennedy and William Nixon (directors of Gateway VCT) have 
  joined the Board as non-executive directors; and 
  3.  The name of the Company has been changed from Guinness Flight Venture Capital 
  Trust PLC to Ortus VCT PLC.
