        AED1,700,000,000 Trust Certificates due 2011 (the "Certificates") 
    Mandatorily exchangeable into Shares of National Central Cooling Company 
                           (Tabreed) PJSC ("Tabreed") 
Capitalised terms used in this announcement have the meanings given to them in 
the terms and conditions of the Certificates (the "Conditions"). 
Pursuant to Condition 12.1, Tabreed announces that on behalf of the Issuer it 
has notified BNY Corporate Trustee Services Limited, as Delegate that the Annual 
Distribution Amount due for payment on 19 May 2010 remains unpaid.  The Bank of 
New York Mellon, as Principal Paying Agent has also been requested to give 
notice to Certificateholders accordingly in accordance with Condition 18. 
As announced on 26 April 2010, Tabreed intends to propose amendments to the 
Conditions in due course in connection with its broader recapitalisation 
programme that Tabreed is targeting for completion in the fourth quarter of 
2010.
