Result of EGM/Cancellation of Trading on AIM

Promethean plc announces that at the Extraordinary General Meeting ("EGM") of the Company held earlier today all resolutions were passed. Consequently the Company will enter members' voluntary liquidation. Dennis McGurgan of Grant Thornton Limited has been appointed to wind up the Company and will return the liquidation proceeds to shareholders.

In accordance with the previously notified timetable, trading in the Company's ordinary shares on AIM will be cancelled from 7.00 a.m. on Wednesday 10(th) December 2014 having been earlier suspended at 7.30 a.m. today.

Sir Peter Burt and Martin Negre will resign from the Board with effect from the close of business on the 9(th) December 2014.

Unless defined herein, capitalised terms used in this announcement shall have the meaning attributed to them in the Circular.
