The Class A Notes and Class B Notes are together referred to as
the "Notes".
Capitalised terms used but not otherwise defined in this notice
shall have the meanings, as applicable, set out in the terms and
conditions of the Notes in the trust deed (the "Trust Deed") dated
6 May 2009 and entered into between Residential Mortgage Securities
23 Plc (the "Issuer" or the "Transaction", as the context requires)
and Capita Trust Company Limited (the "Trustee"), the master
definitions schedule (the "Master Definitions Schedule") dated 6
May 2009 and signed for the purposes of identification by
Linklaters LLP and White & Case LLP the master securitisation
agreement (the "Master Securitisation Agreement") dated 6 May 2009,
as amended on 29 February 2012 and the Issuer's notice to
Noteholders (the "First Notice to Noteholders") dated 1 December
2015.
The Issuer refers to the Issuer's First Notice to Noteholders
regarding remedial action to be taken following the S&P
Downgrade of Barclays. The Issuer also refers to the notice to
Noteholders (the "Second Notice to Noteholders") dated 21 June 2016
confirming that following the implementation of remedial action in
relation to the GIC Provider and the Transaction Account Bank, the
GIC Account and Transaction Account were transferred from Barclays
to HSBC on 16 June 2016.
The Issuer clarifies that the First Notice to Noteholders and
the Second Notice to Noteholders inadvertently referred to the
GBP24,100,000 Class A Mortgage Backed Floating Rate Notes due 2034
and GBP27,200,000 Class B Mortgage Backed Floating Rate Notes due
2041 when the correct principal amounts of the Notes issued are as
set out at the beginning of this notice. The increased principal
amounts take account of the further Notes issued by the Issuer by
way of a tap issue on 8 June 2009.
