Delay In Publication Of Interim Results And Interim Report

For The Six Months Ended 31 December 2016

Reference is made to the Company's announcement dated 29 September 2016 and the most recent monthly update announcement dated 27 February 2017 (the "Announcements") in connection with the delay in publication of its annual results and annual report. Unless otherwise defined herein, capitalised terms used hereunder shall have the same meanings as those defined in the Announcements.

Pursuant to Rules 13.49(6) and 13.48(1) of the Rules Governing the Listing of Securities on the Stock Exchange (the "Listing Rules"), the Company shall publish its interim results announcement and send to its shareholders its interim report no later than two months and three months after the end of its interim period respectively.

Whilst the delay in publication of interim results and interim report would constitute non-compliance of the above Listing Rules, in light of the ongoing work being performed in connection with the clarification of financial information as referred to in the Announcements, the Board is of the view that it would not be prudent or appropriate for the Company to publish the unaudited interim results of the Group for the six months ended 31 December 2016 at this time given the abovementioned clarification has not been completed and any financial information published now may not accurately reflect the financial performance and position of the Group. The Board believes that any such publication of its annual or interim results and report without completing the above clarification and further audit work referred to in the Announcements (as the case may be) would be misleading and confusing to the shareholders of the Company and its potential investors. The Company will announce the date of the board meeting to approve its financial statements or any update information as and when appropriate.

Trading in the shares of the Company on the Hong Kong Stock Exchange and AIM will remain suspended pending the release of the Group's annual results.
