PUBLICATION OF OFFERING CIRCULAR

Rolls-Royce plc announces that regarding its GBP4,000,000,000 Euro Medium Term Note Programme (the "Programme"), it has today published a Supplement (the "Supplement") to the offering circular dated 8 August 2017 in respect of the Programme. The Supplement was approved by the United Kingdom Listing Authority on 24 April 2018 and is available for viewing.

A copy of the offering circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at: http://www.morningstar.co.uk/uk/NSM
