PUBLICATION OF FINAL TERMS

The Final Terms dated 9 May 2018 relating to the issuance by Rolls-Royce plc of: (i) EUR550,000,000 0.875 per cent. notes due 2024 (the "2024 Notes"); and (ii) EUR550,000,000 1.625 per cent. notes due 2028 (together with the 2024 Notes, the "Notes"), each guaranteed by Rolls-Royce Holdings plc, have been submitted to the UK Listing Authority and are available for viewing (the "Final Terms").

The Notes have been issued under the Issuer's GBP4,000,000,000 Euro Medium Term Note Programme.
