Notice of EGM
Mortice Limited (AIM: MORT), the AIM listed security and
facilities management company, announces that it has posted to
shareholders a notice of Extraordinary General Meeting ("EGM") of
the Company.
Further to the Company's acquisition of Elite Cleaning &
Environmental Services Ltd ("Elite") announced on 24 April 2017,
the EGM is called to approve the off-market buy back of 1,458,333
ordinary shares of no par value ("Ordinary Share") from Gerard
McGrath and Kathleen McGrath, the vendors of Elite (the "Sellers"),
for GBP1.20 per Ordinary Share following to the exercise of the
option granted to the Sellers to require the Company to repurchase
the consideration shares.
The EGM will be held on Friday 17 May 2019 at 5.30pm Singapore
time, 10.30 a.m. UK Time or 3.00 P.M. India Time at the Company's
registered office: 38 Beach Road, #29-11 South Beach Tower,

Management UK Limited and through this wholly owned subsidiary
Company acquired UK based Office & General Group Limited, an
independent property service company specialising in cleaning and
providing support services such as environmental solutions and
built fabric maintenance in the UK. Office & General
Environmental Services Limited has been fully integrated and

In April 2017, Tenon UK completed the acquisition of
Manchester-based Elite Cleaning & Environmental Services Ltd
("Elite"). Elite has a strong blue-chip client base, which is
complementary to the Company's existing UK portfolio.
The Company acquired a 51% stake in Singapore-based security
company Peregrine Security Pte. Ltd (Formerly known as Frontline
Security Pte. Ltd) in November 2015 and the remaining 49% stake in
May 2018 for a maximum consideration of SGD 3.5 million.
