DOCUMENT RE:

CIRCULAR TO SHAREHOLDERS
regarding the

- acquisition by Simmers of the entire issued share capital of and all
  shareholders' claims against Transvaal Gold Mining Estates Limited;

- increase in the authorised share capital of Simmers;

- adoption of the Simmer and Jack Mines, Limited Share Incentive Trust;

- capitalisation of debt of R38 047 142 by way of an issue of 95 117 855 new
  ordinary shares for cash at an issue price of 40 cents each in terms of a
  specific issue of shares for cash and waiver of shareholders' pre-emptive
  rights; and

- granting of a general authority to the directors of the company to issue
  further shares for cash as and when required in terms of the Listing
  Requirements of the Johannesburg Stock Exchange

and incorporating a 

- notice convening a general meeting of shareholders;

- form of proxy; and

- proposed listing particulars statement of Simmers,as reconstituted after the
  above proposals
