                  Circ re Meeting of Bondholders

Northumbrian Services Limited (the "Company") - Proposed substitution of
Northumbrian Water Finance plc (the "Substitute Issuer") for the Company as
issuer in relation to #350,000,000 6.875 per cent. Guaranteed Bonds due 2023 of
the Company (the "Bonds")

The Company announces that it is asking the holders (the "Bondholders") of the
Bonds to consent, at a meeting (the "Meeting") of the Bondholders to be on held
at 10.00 a.m. at the offices of CMS Cameron McKenna LLP at Mitre House, 160
Aldersgate Street, London EC1A 4DD, to the terms of an Extraordinary Resolution
to approve (a) the substitution of the Substitute Issuer for the Company as
principal debtor under the trust deed constituting the Bonds, the Bonds and the
bearer coupons relating to the Bonds and (b) amendments to certain provisions of
the trust deed constituting the Bonds as a result of such substitution (the
"Proposal").

Notice of the Proposal and of the Meeting has been published in the Financial
Times on 9 March 2006. The Proposal is more fully set out in a circular (the
"Circular") issued by the Company. Copies of the Circular may be inspected or
obtained on personal application by or on behalf of Bondholders at the offices
of The Bank of New York at 1 Canada Square, London E14 5AL and Dexia Banque
Internationale a Luxembourg at 69 route d'Esch, L-2953 Luxembourg, Paying Agents
under the Bonds.

Two copies of the Circular have been submitted to the UK Listing Authority and
will shortly be available for inspection at the UK Listing Authority's Document
Viewing Facility, which is situated at:
