M & G INCOME INVESTMENT TRUST PLC

M&G Income Investment Trust P.L.C. (M&G IIT) announces that on 24 August 1998,
it was informed of the following:-

(i)       the purchase on 21 August 1998 of 6,000,000 M&G IIT Income Shares,
6,000,000 M&G IIT Capital Shares and 2,370,000 M&G IIT Geared Ordinary Units
(each comprising one M&G IIT Income Share and one M&G IIT Capital Share) by
Aberdeen Asset Managers Limited on behalf of Aberdeen Preferred Income Trust
Plc.

       Aberdeen Preferred Income Trust Plc now holds an aggregate of
15,020,000 M&G IIT Capital Shares representing 6.06% of the issued capital of
that class of share.

       Aberdeen Preferred Income Trust Plc now holds an aggregate of
15,520,000 M&G IIT Income Shares representing 6.26% of the issued capital of
that class of share.

       As a result of the above purchase of Income Shares, Aberdeen Asset
Managers Limited and its associated companies are now interested in a total of
24,920,000 M&G IIT Income Shares representing 10.05% of the issued share
capital of that class.

(ii)       following a sale of 6,000,000 M&G IIT Capital shares on 21 August
1998 by Robert Fleming Holdings (RFH) Limited on behalf of Fleming Income &
Growth Investment Trust PLC, RFH no longer has any interest in the share
capital of M&G IIT.
