NOTIFICATION OF MAJOR INTERESTS IN SHARES

BG Group plc today received notification that Barclays PLC, through its
subsidiary Barclays Bank PLC, has, as at 13 June 2000, a notifiable interest
of 3.00% of the current issued share capital of BG Group plc.

Of the overall disclosure 54,000,000 results from interests acquired by
Barclays Capital Securities Limited (BCSL) as a result of a customer financing
transaction. BCSL is not the beneficial owner of the shares but has the right
to call for delivery of the shares under the terms of the transaction (a
Companies Act section 208 (5) interest).  Any such call would be offset by
obligations to deliver the shares to third parties.
