                          Termination of offer process

On 11 June 2007, the board of directors of Civica plc (the "Company") announced 
that it had received an unsolicited preliminary approach from a private equity fund. 
The Company announces today that given the uncertainty in the debt markets these 
discussions have not progressed to an acceptable offer and have now been terminated 
by the board.

The Company can confirm current trading is in line with the board's expectations 
and a pre-close trading update will be provided in October 2007 for the year ending 
30 September 2007.
