Gresham Hotel Group p.l.c. has applied to the Irish Stock Exchange, the London
Stock Exchange and the UK Listing Authority to list 719,938 new Ordinary Shares
of €0.10 each on the Official Lists in Dublin and London.  These shares have
been allotted as a result of a scrip issue in relation to the final dividend for
the year ended 31 January 2002.



These shares rank pari passu with all existing shares in issue.
