NextEnergy Solar Fund Limited ("NESF")

Publication of Prospectus and Initial Placing and Offer Now Open

Further to its announcement earlier today, NESF is pleased to announce that its prospectus relating to its Placing Programme has been approved by the FCA (the "Prospectus"). Accordingly, a copy of the Prospectus will be available shortly at NESF's website at www.nextenergysolarfund.com. In addition, a copy of the Prospectus will be submitted to the National Storage Mechanism and will be available shortly for inspection at www.morningstar.co.uk/uk/NSM.

NESF confirms that the Initial Placing and the Offer, both of which are being implemented in accordance with the terms, conditions and other information to be set out in the Prospectus, are now open. The expected timetable for the Initial Placing and initial allotment of New Ordinary Shares pursuant to the Offer (the "Initial Issue") is as follows:
