ITEM 8.01 OTHER EVENTS

On February 23, 2024, the Company emailed a letter to shareholders announcing that the Board of Directors has declared a dividend payment of 50 cents per share to shareholders of record as of February 16, 2024. A copy of the letter is filed as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.

This payment represents an 4% increase over the dividend payment payable in 2023.
