SkillSoft Public Limited Company (the “Company”) is filing this Post-Effective Amendment No. 1 to Registration Statement on Form S-8, File No. 333-99093, as amended by Form S-8, File No. 333-133292 and Form S-8, File No. 333-138859 (collectively, the “Registration Statement”) to deregister 1,901,076 ordinary shares of the Company that were registered on the Registration Statement and reserved for issuance under the Company’s 2002 Share Option Plan and that remain unsold under the Registration Statement.
