Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 7, 2017, Mr. Douglas F. Ray, a current director of Fifth Street Senior Floating Rate Corp. (the “Company”), notified the Company that he was declining to stand for re-election as a director at the Company’s 2017 annual meeting of stockholders. Mr. Ray’s decision not to stand for re-election is not a result of any disagreement among Mr. Ray and any of the other directors or management of the Company.
