Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements
of Certain Officers.

On November 12, 2018, Robert Benya resigned from his position
as Executive Vice Chairman of Ideanomics, Inc. (the “Company”) and director of the Board of Directors (the “Board”)
of the Company, in order to support the management team of Sun Seven Stars Media Group Limited, a private, family-held media and
investment company of which Bruno Wu, the Company’s former Executive Chairman and co-Chief Executive Officer, is Chairman
and Chief Executive Officer. Mr. Benya indicated that his resignation from the Board is not the result of any disagreement with
the Company.
Mr. Benya’s Board seat was assumed by Richard Frankel,
who became the Executive Vice Chairman of the Board on November 12, 2018. Mr. Frankel’s appointment was previously announced
on the Company’s Current Report on Form 8-K filed November 19, 2018.
