Item 8.01   Other Events

MSB Financial Corp. (the "Registrant") announced that its Board of Directors had today approved a stock repurchase plan to purchase up to 273,150 shares, approximately 5% of the outstanding shares of the Registrant's common stock.  In connection with the repurchase plan, the Registrant entered into a Rule 10b5-1 plan with Keefe, Bruyette & Woods, a Stifel Company. As such purchases are dependent on various factors including market conditions, there can be no guarantee as to the timing or exact number of shares that are purchased.
