On November 13, 2023, SunLink Health Systems, Inc. ("SunLink") announced that its subsidiary, Crown HealthCare Investments, LLC, signed an agreement for the sale of the subsidiary that it owns and operates Trace Regional Medical Center ("Trace"). The sale is subject to, among other things, the buyer's satisfactory completion of its due diligence investigation and a number of customary closing conditions. As a result of the entry into the sale agreement, SunLink is required to include the operations of Trace in

discontinued operations and, in connection therewith, SunLink must restate prior periods results. SunLink has determined that it is unable to file its Quarterly Report on Form10-Q for the quarterly period ended September 30, 2023 within the prescribed time period without unreasonable effort or expense due to the additional time that is needed to finalize the Quarterly Report.
