Item 5.02     Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 11, 2024, Marcus Ryu informed Guidewire Software, Inc. (the “Company”) of his intent to not stand for re-election to the Company’s board of directors (the “Board”) at the Company’s 2024 annual meeting of stockholders. The Board thanks Mr. Ryu for his years of service to the Company as co-founder, CEO, and director.
