Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 11, 2025, Prashanth Mahendra-Rajah, a Director of The Goodyear Tire & Rubber Company (the “Company”), notified the Company that he will resign as a Director effective on January 15, 2025. Mr. Mahendra-Rajah has served as a Director of the Company since June 2021.

Mr. Mahendra-Rajah’s decision is not due to any disagreement with the Company regarding its operations, policies or practices.
