                     Investment in Heiton Holdings Plc

Grafton Group plc ('Grafton'), whose main activities are builders and plumbers
merchanting, DIY retailing, plastic and concrete products manufacturing in
Ireland and the UK, announces that following the acquisition of 460,000 shares
on Friday, 11th June it now holds 5,514,000 ordinary shares in Heiton Holdings
plc ('Heiton') which have been acquired for a total cash consideration of Euro
14.5 million (IR#11.4 million).  The shares are being held for investment
purposes and represent approximately 11.68% of Heiton's issued ordinary share
capital.

The main activities of Heiton's are builders merchanting, steel stockholding,
plant and tool hire and homecare/DIY.  In the year ended 30 April 1998,
Heiton's turnover amounted to Euro 210.4 million (IR#165.7 million) while
pre-tax profit was Euro 14.01 million (IR#11.03 million).  Its net assets at
31 October 1998 were Euro 55.3 million (IR#43.57 million).
