                                 Trading Update


17 July 2002.  TransEDA, one of the leading developers of ready-to-use
verification solutions for electronic design, announces that as a result of
continuing difficult trading conditions throughout the industry, turnover for
the year ended 30 June 2002 will be between 10-15 per cent. lower than market
expectations.  To a large extent the Company's cost base is fixed and as a
result the impact of this reduction will flow directly and proportionately
through to the level of pre-tax loss.  The Company remains net cash positive.


Although the pipeline of business was, and continues to remain strong, the level
of sales achieved in May and June was less than had been forecast at the time of
the trading update given in May and, overall, business is generally taking
longer to close than previously experienced.


The Company will continue to add to its product lines during the course of the
current financial year, with the rollout of its emulation coverage tool and
further system verification IP models.  These follow the recent launch of
TransEDA's formal verification tools, which were announced at the Design
Automotion Conference, held in New Orleans in June 2002



The Company continues to review its cost base, which it will monitor in the
current financial year to ensure that it does not compromise its ability to
deliver the products noted above.



Full year results for the financial year ended 30 June 2002 will be announced on
the 9 September 2002.
