TOTAL SYSTEMS Plc (the "Company")

HOLDING IN COMPANY

The Company received notification yesterday that on 20 April 2003 Mr T Delaney
transferred 1,200,000 ordinary shares in the Company, representing 11.43 per
cent of the issued share capital of that class, jointly to his son Mr P Delaney
and his daughter-in-law, Mrs P Delaney.  As a result of this transaction Mr T
Delaney no longer has an interest in the issued share capital of the Company.

Following this transaction, Mr P Delaney and Mrs P Delaney have a total interest
in 2,050,834 ordinary shares in the Company representing 19.53 per cent of the
issued share capital of that class.    Of this total, 408,333 ordinary shares,
representing 3.89 per cent of the issued share capital of that class, are held
non-beneficially.
