following notifiable interests in Marlborough Stirling plc (see letter below).

Marlborough Stirling plc were notified of this change on: 29 September 2003

Letter from Schroder Investment Management Limited 

NOTIFICATIONS UNDER SECTIONS 198 TO 202 - UK COMPANIES ACT

1.     Company in which shares are held:     Marlborough Stirling plc

2.     Notifiable Interest:                  Ordinary shares of 1p each

Schroder Investment Management Limited have an interest in 24,270,526 shares
which are held in portfolios managed by them on a discretionary basis for
clients under investment management agreements.

Included in the holdings figure are:-

(i)  6,009,503 shares held in (a) unit trust(s) operated and managed by an 
     affiliated company, Schroder Unit Trusts Limited (SUTL), and registered or 
     to be registered in the name of Chase Nominees Limited ; and 

(ii) 17,011,023 shares neither registered nor to be registered in the name of 
     Schroder Nominees Limited. The registration details are shown on the 
     enclosed schedule,

(iii)1,250,000 shares registered in the name of their wholly-owned subsidiary 
     nominee company, Schroder Nominees Limited (Schroder Nominees).

An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc), is managing (a) portfolio(s) on a similar basis holding a further 789,109
shares. These shares are registered or to be registered in the name of Chase
Nominees Limited.

Schroder Investment Management Limited (SIML) and its subsidiary and affiliated
company are therefore interested in an overall aggregate 25,059,635 shares,
representing some 11.099% of the total number of shares in issue, namely
225,782,351.

The notification is made to Marlborough Stirling plc:-

(a) in respect of SIML interest as investment managers;

(b) on behalf of SIMNA Inc, and SUTL in relation to the interests they are 
    treated as having respectively under the Companies Act 1985 (the Act); and

(c) on behalf of Schroders plc, SIML's holding company, which is treated as 
    having an interest in all of the above shares under the Act by virtue of its 
    ownership of SIMNA Inc, SUTL and SIML.
