                         ACQUISITION OF VICKERS DEFENCE

Alvis plc announces that, following the acquisition of Vickers Defence from
Rolls-Royce last year and in accordance with the terms of the acquisition
agreement, it has now agreed the working capital adjustment to the purchase
consideration. This will result in a payment to Alvis by the seller of #15.8
million and ZAR 15.8 million (Rand) including accrued interest.
