              Rule 2.10 announcement - Relevant Securities in Issue

In accordance with Rule 2.10 of the City Code on Takeovers and Mergers, Swan
Hill announces that it has 59,676,972 ordinary shares of 25 pence each in issue,
along with unexercised options over a total of 713,744 ordinary shares (to be
satisfied by the issue of 588,744 new shares and 125,000 existing shares). In
addition, Swan Hill has awards outstanding under Swan Hill's restricted share
scheme of 1,908,011 ordinary shares (to be satisfied by the issue of new shares
upon vesting).
