                            CHANGES IN ISSUED CAPITAL

                             ISSUES OF EQUITY - AGM

Virotec International Ltd (ASX/AIM: VTI) advises that the following the approval
of shareholders at the Company's Annual General Meeting on Friday 28 November
2003, the following securities have been issued:

200,000 ordinary shares at a price of A$0.50 to non-executive directors; and

50,000 options exercisable at A$0.50 each on or before 30 September 2006 to an
       associate of a non-executive director.

                                EXPIRY OF OPTIONS

Virotec also advises that the following options with an expiry date of 30
November 2003 have not been exercised and have now lapsed:

900,000 options exercisable at A$1.00 each on or before 30 November 2003 issued
        to directors; and
700,000 options exercisable at A$0.56 each on or before 30 November 2003 issued
        to employees.

The current issued capital of Virotec is as follows:

193,693,841 Ordinary shares

4,145,000   Options (unquoted) with various expiry dates between 28 February 
            2004 and 30 September 2006 and exercisable at various exercise 
            prices between A$0.21 and A$1.00.
