                        POSTING OF SHAREHOLDER CIRCULAR

Further to today's announcement regarding the proposed acquisition of the Rebus
HR Group, the Board of Northgate announces that a shareholder circular,
convening an extraordinary general meeting to be held on Monday, 12 January 2004
to approve the Acquisition, and listing particulars concerning the re-admission
of the Existing Shares and the admission of the Consideration Shares and Placing
Shares in connection with the Acquisition are being posted to holders of
ordinary shares in Northgate today.

The listing particulars and shareholder circular will be available shortly to
the public for inspection during normal business hours on any weekday
(Saturdays, Sundays and public holidays excepted) at the UK Listing Authority's
Document Viewing Facility which is situated at: Financial Services Authority, 25
