Polish competition clearance
The Company is pleased to announce that the President of the Office for the
Protection of Competition and Consumers (Prezes Urzedu Ochrony Konkurencji I
Konsumentow) has today unconditionally cleared the proposed acquisition by MIH
Internet B.V. of the entire issued and to be issued share capital of the Company
(the "Acquisition") under the Polish Competition and Consumers Protection Act
2007.
Although the scheme of arrangement that is being implemented to effect the
Acquisition (the "Scheme") remains subject to the sanction of the court and a
number of other conditions as set out in the circular sent to shareholders on 14
January 2008 (which remains available on the Company's website), the dates of
the necessary court hearings will now be confirmed for 4 March 2008 (in respect
of the hearing to sanction the Scheme) and 6 March 2008 (in respect of the
hearing to confirm the capital reduction).
Assuming these conditions are met and the court sanctions the Scheme and
confirms the capital reduction, it is expected that the Scheme will become
effective on 7 March 2008, that the cancellation of the listing of Tradus shares
will take place on the same date and that settlement of the cash consideration
due under the Scheme will be made on or before 21 March 2008.
