NOTICE OF REDEMPTION

To the holders of

IRISH LIFE ASSURANCE PLC's (the "Issuer")

EUR200,000,000 Step-up Perpetual Capital Notes

ISIN: XS0285885009 (the "Notes")

The Issuer wishes to announce that, pursuant to Condition 5(d) of the Notes, it has elected to redeem all of the Notes (the "Early Redemption") at their principal amount on 8 February 2017 (the "Optional Redemption Date") together with interest accrued to such Optional Redemption Date.

In accordance with Condition 5(a) of the Notes, (i) the Issuer has obtained the consent of the Central Bank of Ireland to the Early Redemption, and (ii) expects that the Solvency Condition will be met.

Capitalised terms used but not defined in this notice shall have the meanings given to them in the Conditions of the Notes.
