Item 8.01
Other Events.
As previously reported, on May 28, 2021, a class action complaint
was filed against Virgin Galactic Holdings, Inc. (the “Company”) in
the Eastern District of New York captioned Lavin v. Virgin Galactic
Holdings, Inc., Case No. 1:21-cv-03070. In September 2021, the
Court appointed Robert Scheele and Mark Kusnier as co-lead
plaintiffs for the purported class. Co-lead plaintiffs amended the
complaint in December 2021, asserting violations of Sections 10(b),
20(a) and 20A of the Securities Exchange Act of 1934, as amended,
against us and certain of the Company’s current and former officers
and directors on behalf of a putative class of investors who
purchased the Company’s common stock between July 10, 2019 and
October 14, 2021. The amended complaint alleges, among other
things, that the Company and certain of its current and former
officers and directors made false and misleading statements and
failed to disclose certain information regarding the safety of its
ships and success of its commercial flight program. Co-lead
plaintiffs seek damages, interest, costs, expenses, attorneys'
fees, and other unspecified equitable relief. Defendants filed a
motion to dismiss on April 4, 2022.
On November 7, 2022 the court granted in part and denied in part
defendants’ motion and granted co-lead plaintiffs leave to file an
amended complaint by November 28, 2022. The Company believes the
claims are without merit and intends to continue to vigorously
defend against this matter.
