Merger of Furnas by Eletrobras

 

Rio de Janeiro, January 11, 2024, Centrais Elétricas Brasileiras S/A – Eletrobras, in continuity with the relevant facts disclosed on August 22 and November 25, 2023, and on January 2, 2024, informs that, on this date, considering after the decision rendered by Minister Alexandre de Moraes, of the Federal Supreme Court, in Complaint No. 64,901, which determined "The CASSATION of the decisions complained of, rendered by the Court of Justice of the State of Rio de Janeiro (Process 0185639-83.2023.8.19.0001 and 0186310-09.2023.8.19.0001) and by the Regional Labor Court of the 1st Region (Process 0120785-36.2023.5.01.0000)", which suspended the holding of the Extraordinary General Meeting scheduled for December 29, 2023, the Company's shareholders, meeting at the aforementioned EGM, approved, by majority, the merger of the wholly-owned subsidiary Furnas - Centrais Elétricas S.A. The merger will not result in a capital increase, nor will the issuance of new shares by Eletrobras, nor will it result in the right of withdrawal.

 

After the verification of the conditions precedent, the merger will take place on the date to be defined by the Board of Directors of Eletrobras.

 

The merger of Furnas represents an important milestone in the corporate reorganization of Eletrobras and the simplification of its structure, as provided for in the Strategic Plan.
