Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 4, 2024, Donna Anderson, Vice President and Chief Accounting Officer of Cactus, Inc. (the “Company”), notified the Company of her intention to resign from the Company effective March 15, 2024.

On March 8, 2024, in connection with Ms. Anderson’s resignation, Alan Keifer, who is currently Interim Chief Financial Officer and Principal Financial Officer of the Company, was appointed as the Company’s Principal Accounting Officer effective March 15, 2024. Mr. Keifer will continue in his role as Interim Chief Financial Officer and Principal Financial Officer.

The information required by Items 401(b), (d) and (e) and 404(a) of Regulation S-K relating to Mr. Keifer as well as a description of Mr. Keifer’s compensation is described in the Company’s Current Report on Form 8-K filed with the SEC on October 24, 2023, which disclosure is hereby incorporated by reference into this Item 5.02.
