FORTUNE
VALLEY TREASURES, INC. (the “Company”) is filing an extension on Form 12b-25 with the U.S. Securities and Exchange Commission
to allow for additional time to finalize its quarterly report on Form 10-Q for the period ended March 31, 2024 (the “Form 10-Q”).
The Form 10-Q of the Company could not be filed by May 15, 2024 without unreasonable effort and expenses because the Company
requires additional time to finalize its financial statements for the period ended March 31, 2024 required to be included in the
Form 10-Q. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company expects to file its
Form 10-Q no later than the fifth calendar day following the prescribed due date.

Net
revenues were approximately $0.27 million for the three months ended March 31, 2024, reflecting a decrease of $1.37 million,
or 84%, from $1.64 million for the three months ended March 31, 2023. The decrease in product sales was primarily due
to a decline in market demand resulting from the sluggish economic environment and slow recovery in China’s economy as compared
to the same period of the prior year. And in order to attract new customers, the Company has lowered the unit sales prices of wine
products since April 2023, which has also contributed to the decline in the net revenue. Gross profit was $0.05 million and
$0.95 million for the three months ended March 31, 2024 and 2023, respectively, reflecting a decrease of $0.90 million,
or 94%. The decrease in gross profit was mainly due to the decrease in the net revenues. |
