Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2024, Syndax Pharmaceuticals, Inc. (the “Company”) announced that it has eliminated the Chief Medical Officer position and that Catherine Madigan, M.D. will cease to serve as the Company’s Chief Medical Officer and as an employee of the Company effective as of December 20, 2024. Dr. Madigan will receive severance compensation consistent with the terms of her service agreement, as described in Exhibits 10.24 and 10.25 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2023.
