180 Life Sciences Corp. (NASDAQ: ATNF) (“180 Life Sciences” or the
“Company”), today announced that it received notice from the Nasdaq
Listing Qualifications Panel (the “Hearings Panel”) of The Nasdaq
Stock Market LLC (“Nasdaq”) that the Hearings Panel has granted the
Company’s request for additional time to achieve compliance with
Nasdaq’s continued listing rules and demonstrate long-term
compliance with the Equity Rule (defined below). Specifically, the
Hearings Panel has agreed to provide the Company until September
20, 2024 to regain compliance with the Equity Rule and to allow the
continued listing of the Company’s common stock and warrants on The
Nasdaq Stock Market through such date, subject to the Company’s
compliance with the Equity Rule on or prior to such date.
“We believe the additional extension granted by
the Nasdaq Hearings Panel will allow us to finish executing on our
plan to regain compliance with Nasdaq’s minimum stockholders’
equity requirement,” said Blair Jordan, Interim Chief Executive
Officer of the Company.
The Company is currently out of compliance with
Listing Rule 5550(b)(1), which requires listed issuers to maintain
minimum stockholders’ equity of $2.5 million (the “Equity Rule”)
and does not meet any of the alternative standards in Listing Rule
5550(b). As previously disclosed, on November 15, 2023, the Listing
Qualifications department of Nasdaq (the “Staff”) notified the
Company that it did not comply with the Equity Rule and Nasdaq
subsequently provided the Company an extension until May 13, 2024,
to regain compliance with the Equity Rule.
Also as previously disclosed, the Company was
unable to regain compliance with the Equity Rule prior to May 13,
2024, and as a result, on May 14, 2024, the Company received a
delist determination letter from the Staff advising the Company
that the Staff had determined to suspend the trading of the
Company’s common stock and public warrants at the opening of
business on May 23, 2024 and to file a Form 25-NSE with the
Securities and Exchange Commission (SEC), which would remove the
Company’s common stock and public warrants from listing and
registration on Nasdaq, unless the Company timely requested an
appeal of the Staff’s determination. On May 17, 2024, the Company
requested an appeal of the Staff’s delisting determination, and on
May 20, 2024, the Staff advised the Company that the delisting
action referenced in the Staff’s determination letter was stayed,
pending the final written decision by the Hearings Panel. On July
2, 2024, the Company announced that the Hearings Panel had
determined to grant the Company’s request to continue its listing
on The Nasdaq Stock Market, subject to the Company achieving
compliance with Nasdaq’s continued listing rules and demonstrating
long-term compliance with the Equity Rule on or before July 31,
2024. The Company subsequently submitted a request asking the
Hearings Panel to reconsider their prior determination and the
Hearings Panel extended the date the Company was required to
achieve compliance with Nasdaq’s continued listing rules and
demonstrate long-term compliance with the Equity Rule, to September
30, 2024.
Notwithstanding the foregoing, there can be no
assurance that the Company will be able to meet the deadlines or
conditions imposed by the Hearings Panel, or regain compliance with
all applicable requirements for continued listing. Additionally,
the Nasdaq Listing and Hearing Review Council may, on its own
motion, determine to review any Hearing Panel decision within 45
calendar days after issuance of the written decision. If the
Listing Council determines to review the Hearing Panel’s decision,
it may affirm, modify, reverse, dismiss or remand the decision to
the Hearing Panel.
