Results of Special General Meeting ("SGM") and
Notification of intended cancellation of Common Shares from the
Official List and of trading on the Main Market of the London Stock
Exchange
Hong Kong, 3 November 2020 - Cathay International Holdings
Limited (LSE: CTI.L), an operator and investor in the growing
healthcare sector in the People ' s Republic of China , t oday
announces that at the SGM held earlier today, the Resolutions as
set out in the Notice of Special General Meeting dated 16 October
2020 were duly passed.

Notes:
1. A copy of the Resolutions passed at the meeting is being
uploaded today to the National Storage Mechanism and will shortly
be available for viewing at www.morningstar.com.
2. The final voting result for the Resolutions will also be displayed on the Company website at www.cathay-intl.com.hk
3. In accordance with the voting structure set out in the SGM
circular dated 16 October 2020 , Resolution 1 requires the Company
to obtain: (i) at least a simple majority of more than 50 per cent.
of the total number of votes cast for and against the Listing
Cancellation Resolution by the Common Shareholders, excluding the
Controlling Shareholders; (ii) at least a majority of not less than
75 per cent. of the total number of votes cast for and against the
Listing Cancellation Resolution by the Common Shareholders; and
(iii) at least a majority of not less than 75 per cent. of the
total number of votes cast for and against the Listing Cancellation
Resolution by the Common Shareholders and the A Shareholders voting
together.
4. Any proxy votes which are at the discretion of the Chairman
have been included in the 'For' total.
5. A vote 'Withheld' is not a vote in law and is not counted in
the calculation of the proportion of the votes for and against the
Resolutions.
Notice of Intended Cancellation of Listing of the Company's
Shares
Pursuant to the Listing Rules, the Company is required to give
at least 20 business days' notice of its intended Listing
Cancellation. The Company will today apply to the Financial Conduct
Authority to cancel the listing of the Company's common shares (the
"Shares") on the standard segment of the Official List and trading
on the Main Market of the London Stock Exchange (the "Listing
Cancellation"). It is anticipated that the effective date of the
Listing Cancellation will be at 8:00 am (London time) on 2 December
2020.
Tender offer
As a reminder, the latest time and date for receipt of Tender
Forms and TTE Instructions in relation to the Tender Offer, details
as set out in the Tender Offer Circular dated 16 October 2020, will
be at 11:00 a.m. (London time) on 10 November 2020.
The Company expect to announce the results of Tender offer on 11
November 2020.
