ANNOUNCEMENT OF CAPITAL REDUCTION

The Special Resolution of Johnson Service Group PLC ("the Company") passed on
24 June 1998 for the reduction of the capital of the Company by cancelling the
600,000 6.3% Cumulative Preference Shares of #1 each, of which 470,750 are in
issue, became effective on 23 July 1998, following confirmation by the Court
and registration with the Registrar of Companies.  Payments due to the holders
of the Cumulative Preference Shares are expected to be made by 4 August 1998
as originally notified to shareholders.
