Notification Under Part VI the Companies Act 1985 (as amended)

Please note that on 16 January 2004, Interserve Plc (the "Company") was
notified that FMR Corp. and its direct and indirect subsidiaries and Fidelity
International Limited (FIL) and its direct and indirect subsidiaries, both
being non-beneficial holders, hold 4,029,058 ordinary shares of 10p each
representing 3.54% of the issued share capital of the Company.
