( 1)  The reported securities are directly owned by Geier International Strategies Fund LLC (the "Company"), which is a reporting person.
( 2)  The reported securities are held in the account of the Company and may also be deemed to be beneficially owned by (i) Geier Capital LLC and Geier Group LLC, who are each Reporting Persons, by virtue of their role as the managing member and the investment manager, respectively, of the Company, and (ii) Chris Gibson, who is also a Reporting Person, by virtue of his role as managing member of Geier Capital LLC and Geier Group LLC. The Reporting Persons disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein, and this report shall not be deemed an admission that the Reporting Persons are the beneficial owners of these securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
( 3)  The reported securities are directly owned Chris Gibson, who is a reporting person.
( 4)  The reported securities are directly owned by Geier Group, LLC, which is a reporting person.
